Legal Operations Under a Certificate of Non-Conformance
Background/Description of the Disclosure

It was recently discovered that the Corporation’s flour mill, situated at 528 F. Blumentritt Ext. Brgy. Hulo, Mandaluyong City, has been operating the within an area that is currently designated and zoned as high density mixed use. For decades, the flour mill’s operation in the area has been authorized by virtue of a Certificate of Non-Conformance, issued by the Mandaluyong City Government pursuant to the relevant Mandaluyong City Ordinances; including the latest Mandaluyong City Ordinance No. 664, Series of 2017, administered by the Office of the City Planning and Development (the “Zoning Ordinance”).

The Certificate of Non-Conformance is a certification issued to owners of non-conforming uses as provided in the Zoning Ordinance where such non-conforming uses were existing at the time of the adoption of the Zoning Ordinance (Definition of Terms, and Section 43 of the Zoning Ordinance). In the case of the Company, it had been operating and existing in the area since 1958, which was before the enactment of the relevant zoning ordinances of Mandaluyong City. This Certificate of Non-Conformance legally allows the Corporation’s flour mill operations in an area zoned for high density mixed use. Moreover, the Corporation has been conducting its operations peacefully, without encountering any concerns from the local government, the barangay, and the surrounding community. The Corporation expects that it will be able to continue with its business operations.

Nevertheless, Board of Directors is currently undertaking a review of operations and information gathering in light of this development.

We are writing this disclosure so that the investors, stockholders and stakeholders are duly informed.
