Results of Board of Directors' Meeting - Tender Offer of Premium Leisure Corp. Shares
Background/Description of the Disclosure
Please be advised that at a special meeting of the Corporation's Board of Directors held today, 11 March 2024, the following matters were approved: 1. The conduct by Belle of a Tender Offer for all of the outstanding common shares of Premium Leisure Corp. (PLC) for the purpose of eventually causing the filing of an application for the voluntary delisting of PLC from the Main Board of the Philippine Stock Exchange, subject to the conduct of a valuation study on the PLC shares, and issuance of a fairness opinion, by an independent third party. 2. The engagement of First Metro Investment Corporation (First Metro), an independent third party, to conduct the valuation study and issue a fairness opinion report. The Tender Offer Price, timing, and other terms and conditions of the Tender Offer shall be determined and finalized upon receipt and acceptance by the Board of Directors of Belle of the fairness opinion report of First Metro.
