Background/Description of the Disclosure

Please be advised of the following significant items approved by the Board of Directors at the regular meeting held on January 29, 2024.

1. Appointment of LTC Joel M. Ajero as Chief Security Officer, with rank of Vice President, effective February 1, 2024 (subject to BSP/regulatory approvals as may be required).

LTC Joel M. Ajero will replace VP Jefferson Tecson, who resigned effective February 1, 2024.

He has over 26 years of relevant experience largely gained from the banking sector and military. He has gained skills in implementing effective bank security control systems, supervising the security force, intelligence gathering and fraud investigation. He is knowledgeable in the various fields of information security such as cybercrime awareness, intelligence and fraud investigation as well as physical security and safety. He graduated in 1997 from Bicol University with a degree in Bachelor of Arts major in Communication Arts.

2. Appointment of SVP1 Jose Jayson L. Mendoza as President of RCBC Leasing and Finance Corporation and RCBC Rental Corporation effective February 1, 2024 (subject to BSP/regulatory approvals as may be required).

3. Appointment of Mr. Reginaldo Anthony B. Cariaso, EVP/ Group Head Designate to Group Head for Operations effective February 4, 2024 (subject to BSP/regulatory approvals as may be required).

Mr. Cariaso will replace SEVP Redentor C. Bancod as Group Head for Operations, who is retiring effective February 4, 2024.

4. Appointment of Mr. Nilo C. Zantua, SVP1/ Chief Technology Officer to Group Head for Information Technology Shared Services effective February 4, 2024 (subject to BSP/regulatory approvals as may be required).

Mr. Zantua will replace SEVP Redentor C. Bancod as Group Head for Information Technology Shared Services, who is retiring effective February 4, 2024.

5. Interlocking Officership of the following RCBC Officers between the Bank and other YGC Companies (subject to BSP/regulatory approvals as may be required):
