Background/Description of the Disclosure

Minority shareholders of Alliance Select Foods International, Inc. (“ASFII”; PSE: “FOOD”); namely, Harvest All Investment Limited, Victory Fund Limited, Bondeast Private Limited, Estate of Albert Hong Hin Kay and Hedy S. C. Yap-Chua (the “Hedy Group”) filed a Petition for Review on Certiorari with the Supreme Court (the “Petition”), to appeal the Court of Appeals’ (“CA”) dismissal of the Hedy Group’s civil complaint filed in 2015 (the “Complaint”) finding, among others, that the Group had committed forum shopping.

ASFII received the Petition through its legal counsel on January 16, 2024.

The complaint (which was amended on August 2015) sought to enjoin ASFII and the majority of its then-Board of Directors and Corporate Secretary, from implementing and carrying out a Stock Rights Offering (“SRO”) prior to and as a condition for the holding of ASFII’s 2015 Annual Shareholders’ Meeting.

The filing of the Petition has no effect on FOOD’s business or operations. FOOD Management continues to focus on growing the business.
