Reason(s) for Replacement
Robinsons Land Corporation (RLC) was informed by Rizal Commercial Banking Corporation –Stock Transfer Department that it had transitioned to a newly established stand-alone trust corporation called RCBC Trust Corporation. As a result of such transition, the transfer agent of RLC effective January 1, 2024 shall be RCBC Trust Corporation.
Other Relevant Information
RLC intends to seek Board approval of such transition from RCBC - Stock Transfer Department to RCBC Trust Corporation in the next Board Meeting. RLC will disclose in due course the new effectivity Date of the Engagement with RCBC Trust Corporation following the latter's completion of all regulatory requirements. This particular amendment is being made to change to "TBA" the following: 1. Effective Date of Termination of RCBC Stock Transfer; 2. Date of Engagement with RCBC Trust Corporation; and 3. Effective Date of Engagement with RCBC Trust Corporation. Please find attached SEC Form 17-C.
