Background/Description of the Disclosure

Please be informed that during its regular meeting held this afternoon, 06 December 2023, the Board of Directors of China Banking Corporation (the "Bank") took up and approved, confirmed and/or ratified the following matters:

1. Appointment of the following senior officers:

a. Mr. EDUARDO S. MARTINEZ, as Chief Data Officer and Head of Data Intelligence Division under the Innovation and Transformation Segment (ITS), with the rank of FIRST VICE PRESIDENT I, effective 02 January 2024.

Mr. Martinez, 49, has over two (2) decades of experience in data architecture, enterprise data warehouse, business intelligence, information technology (IT), cloud computing and financial management, 16 years of which were gained from the banking sector. He is the Head of Data Engineering of the Bank of the Philippine Islands and has held IT- and data-related positions at the Philippine National Bank. Mr. Martinez obtained his Bachelor of Computer Science degree from AMA Computer University, and a Master's degree in Business Administration from the Ateneo Graduate School of Business.

b. Ms. MA. GINGILI A. VALENZUELA as Head of Commercial Banking Division under the Institutional Banking Segment, with the rank of FIRST VICE PRESIDENT I, effective 01 March 2024.

Ms. Valenzuela, 49, has 26 years of experience in account solicitation and management, with specialization in business and corporate banking. Currently, she is the Head of Business Banking Center at the Metropolitan Bank and Trust Company. She previously held posts in Security Bank Corporation, Keppel Monte Bank and Union Bank of the Philippines. Ms. Valenzuela graduated from the De La Salle University with a Bachelor of Science major in Legal Management degree. She also obtained from the De La Salle Professional School a Master's degree in Business Administration.

2. Appointment/designation of Mr. JOSE L. OSMEÑA, JR., Executive Vice President and currently Head of Retail Banking Business Segment (RBBS), as Co-Segment Head for RBBS, effective 16 December 2023.

3. Promotion of Ms. CLARA C. SY, Deputy Head for RBBS, from Senior Vice President to EXECUTIVE VICE PRESIDENT, and her appointment as Co-Segment Head for RBBS, both effective 16 December 2023.

4. Promotions of the following senior officers from Vice President II to FIRST VICE PRESIDENT I, effective 16 December 2023:

a. Ms. CARINA L. YANDOC, Head of Sales and Marketing Division under the Trust and Asset Management Group (TAMG); and

b. Ms. GEMMA B. DELADIA, Head of Operations and Finance Division under TAMG.

5. Appointment/designation/transfer of Mr. MANUEL C. TAGAZA, Senior Vice President and currently Group Head of Digital and Customer Experience Platforms Group (DCEPG), as Head of Retail Banking Innovations Group, effective 01 January 2024.

6. Appointment/designation of Ms. MELANEE I. TORRELINO, First Vice President I and currently Deputy Group Head of DCEPG under ITS, as Group Head of DCEPG, effective 01 January 2024.

7. Secondment of Ms. MARIA GINA P. ALINDAO, Assistant Vice President and Team Lead of Bank subsidiary of CBC Properties and Computer Center, Inc.'s Capability and Support Cluster - Affiliates Delivery and Support Department, to the Bank's Portfolio and Project Management Division (PPMD) as Senior Project Manager, effective 16 December 2023.
