Executive Committee approval of the proposed partnership with BrightNight in the Philippines
Background/Description of the Disclosure

Please be advised that on 5 December 2023, the Company’s Executive Committee approved the proposed partnership with BrightNight APAC B.V for the establishment (directly by ACEN or indirectly through ACEN’s designated affiliate) of a Philippines renewable energy platform company to develop, construct, and operate utility-scale renewable energy projects in the Philippines, subject to, among others, execution of final definitive documents.
Other Relevant Information

BrightNight APAC B.V is wholly-owned by BrightNight, LLC (“BrightNight”).

BrightNight is the first global renewable integrated power company designed to provide utility and commercial and industrial customers with clean, dispatchable renewable power solutions. BrightNight works with customers across the U.S. and Asia Pacific to design, develop, and operate safe, reliable, large-scale renewable power projects optimized to better manage the intermittent nature of renewable energy. Its deep customer engagement process, team of proven power experts, and industry-leading solutions enable customers to overcome challenging energy sustainability standards, rapidly changing grid dynamics, and the transition away from fossil fuel generation.

In Asia Pacific (“APAC”), BrightNight has developed an advanced renewable power portfolio of 2.7 GWac across the Philippines, India, Australia and Bangladesh, 1GWac of which being under development in the Philippines.

In 2022, BrightNight closed on a USD 500mn investment from Global Infrastructure Partners for its US portfolio and in 2023 BrightNight and ACEN formed a partnership that aims to deploy USD 250mn equity to accelerate the development, construction, and operation of BrightNight’s 1.2 GW, multi-technology renewable power portfolio in India.

This partnership in the Philippines, once completed, will be the second GW-scale renewable energy platform investment partnership between ACEN and BrightNight in APAC.
