MGen Renewable Energy Inc. (“MGREEN”)'s investment in SP New Energy Corporation (“SPNEC”)
Background/Description of the Disclosure
In relation to the company's disclosure last October 12, 2023 regarding MGen Renewable Energy Inc. (“MGREEN”)'s investment in SP New Energy Corporation (“SPNEC”), please be informed that MGREEN and SPNEC had entered into a Subscription Agreement (" the Agreement") dated Nov. 30, 2023 for the subscription by MGREEN of 15,700,000,000 common shares and 19,404,202,552 preferred shares of SPNEC. Under said Agreement, MGREEN shall pay an initial amount of Php7,000,000,000.00 to be paid on the Subscription Date and the balance of Php8,894,042,025.52 will be paid on the Closing Date upon fulfillment of certain conditions, including the increase in SPNEC's authorized capital stock and the amendment of its articles of incorporation, as provided for in said Agreement.
