Clarification of News Report

1) APO Cement Corporation (“APO”) and FILINVEST-ENGIE RENEWABLE ENERGY ENTERPRISE, INC. (“FREE”) entered into a 25-year Solar Power Purchase Agreement under which FREE shall, at its own cost, design, finance, build, operate, and maintain an on-site 10.08MW solar photovoltaic electric generating facility to provide power to APO’s plant in Naga City, Cebu. Subject to operational and environmental factors, and assuming peak conditions, it is expected that up to 8% of the plant’s electricity requirement, if fully operational, can be supplied by this new solar generating facility.

2) Cemex Holdings Philippines, Inc. (“CHP”) and ENGIE Services (Philippines) entered into a Memorandum of Understanding whereby the parties have agreed to explore potential renewable projects and energy efficiency solutions to benefit CHP’s or its affiliates’ project sites in the Philippines. So far, the parties have not identified any concrete or definitive projects to implement. This Memorandum of Understanding did not create any legally binding obligations on each party, and specific undertakings will be subject to the signing of definitive agreements and necessary regulatory approvals.
