Pursuant to the Subscription and Debt Conversion Agreements executed with Metropolitan Bank & Trust Company (Metrobank) and with the Members of the Board of Trustees of the Private Education Retirement Annuity Association (PERAA), in their Individual Capacities as Trustees of the PF (the PERAA Trustees), the Corporation issued a total of 77,791,000 Common shares from its unissued capital stock in favor of Metrobank and PERAA Trustees.

The Issued and Outstanding Common Shares in the amount of 2,274,768,615 shares, already include partially-paid shares of Udenna Corporation (375,000,000 shares) which are not yet recorded in the books of the Corporation's Stock Transfer Agent.
