Background/Description of the Disclosure

At the meeting of the Board of Directors of Nickel Asia Corporation (the “Company”) held on October 26, 2023, the Board approved the conversion of the Company’s cumulative advances of up to PhP813 million to its renewable energy subsidiary, Emerging Power, Inc. (EPI) into equity, upon approval of the increase in authorized capital stock of EPI.
