Background/Description of the Disclosure
On 20 October 2023 and pursuant to the authority given by the shareholders to the board to enter into a private placement transaction and issue such relevant number of shares, the Corporation executed a subscription agreement with Summit Telco Holdings Corporation (“Summit Telco Holdings”), a Philippine registered corporation that is wholly-owned by Summit Telco Corporation Pte. Ltd., an existing shareholder of DITO CME for Summit Telco Holdings’ subscription to 3,300,000,000 voting common shares in the Corporation for the total consideration of Php3,300,000,000.00 at Php1.00 per share.
