Please be advised that during its August 14, 2023 regular meeting, the Board of Directors of Macay Holdings, Inc. ("Macay") approved the declaration of dividends equivalent to Philippine Peso Two Billion One Hundred Fifty Million (PHP 2,150,000,000) by way of property dividends of one billion (1,000,000,000) common shares of ARC Refreshments Corporation ("ARC") to be distributed to all eligible shareholders of Macay as of record date of October 23, 2023. The property dividends shall be paid at an entitlement ratio of 0.936 common share of ARC for every one (1) common share of Macay held by the shareholder. Any resulting fractional share shall be paid in cash. All Macay shareholders as of the aforementioned record date, shall have the option to receive their portion of the property dividends in cash. Shareholders who did not specify a preference between shares of ARC or cash, will receive cash. The dividends (whether distributed in shares of ARC or in cash, as an alternative) is subject to shareholders' and relevant regulatory approvals, and will be distributed net of the applicable final tax required to be withheld by Macay.

Other Relevant Information

On October 11, 2023 Macay stockholders approved the cash option of the property dividend and the use of Php2.15 per share as the market value of the ARC shares, as determined by an SEC-accredited independent third-party valuer, to compute the equivalent cash value to be paid to shareholders who will receive cash in lieu of the ARC shares. With the entitlement ratio of 0.936 share of ARC for every one share of Macay, the equivalent cash option is Php2.0124 per share of Macay held by the shareholder.
