Background/Description of the Disclosure

8990 Holdings Inc Board of Directors approved the adoption of a buyback program on April 26, 2023 in the amount of up to Php1 billion, for the Company’s outstanding Series B Preferred Shares or equivalent to approximately 11 million shares or an estimated 29-30% of the total 37 million Series B Shares. The buyback program will be until January 31, 2024

The company is taking steps to optimize its capital structure given the current price levels of 8990B preferred shares. The buybacks will help generate savings in terms of the lower amount that needs to be set aside for any future 8990B share redemption and dividend payments.
