Background/Description of the Disclosure

Please be advised of the following significant items approved by the Board of Directors at the regular meeting held on September 25, 2023.

1. Appointment of Ms. Jacqueline Grace B. Wieneke as Group Head Designate of the Wealth Management Group with rank of Senior Vice President 2, effective October 2, 2023 (subject to BSP and other regulatory approvals as may be required).

Ms. Wieneke is a seasoned leader with focus in wealth management and retail branch banking. She has 30 years of significant experience largely spent in Citibank N.A. with acquired competencies in setting up premier team, revenue generation, client acquisition and relationship management, cross-selling of credit, investment and insurance products, asset sales and project transformation. She graduated from Assumption College with a degree in Bachelor of Science in Commerce major in Marketing.

2. Appointment of Mr. Reginaldo Anthony B. Cariaso as Group Head Designate of the Operations Group with rank of Executive Vice President, effective November 6, 2023 (subject to BSP and other regulatory approvals as may be required).

Mr. Cariaso is a seasoned financial and banking executive, with 27 years of experience gained from local and multinational firms. He has significant exposure leading teams for Institutional Banking focusing on Transaction Banking, Remittance & Funds Transfer, Special Accounts Management (NPLs), Strategic Management & Marketing, and Systems & Project Development as well as Investment Banking particularly on equity capital market transactions, debt capital raising and M&A transactions.

He graduated from the University of Pennsylvania, Philadelphia with a degree in Bachelor of Arts in Chemistry.
