Matters approved at the second regular board meeting held today, 18 May 2023, in person at the ACEN Board Room, 35th Floor, Ayala Triangle Gardens Tower 2, Paseo de Roxas corner Makati Avenue, Makati City and via video conferencing

Background/Description of the Disclosure

1. Authorizations for the administration of the PHINMA Retirement Plan (the “PHINMA Plan”) with respect to remaining contributions of employees of the Corporation who were absorbed by the Corporation from PHINMA
2. Amendment of the PHINMA Plan rules to remove the Corporation from the list of member companies
3. Execution and availment of credit facilities with China Banking Corporation of up to Php 5 billion
4. Execution and availment of omnibus credit lines with Mitsubishi UFJ Financial Group (MUFG) of up to USD 50 million
5. Investment management policy guidelines and trading limits
6. Approval in principle of the increase in transmission line investments to support the Corporation’s Zambales solar projects, and delegation of authority to the Executive Committee to approve the final investment details
