NOW Telecom Company, Inc.'s Cyber-digital Partnerships.

Background/Description of the Disclosure

Following the historic trilateral meeting on 12 April 2024 (Manila time) among US President Joe Biden, Japanese Prime Minister Fumio Kishida and President Ferdinand Marcos Jr., the White House in a statement underscored the historic achievements in bilateral relations between the Philippines and the United States since President Biden and President Marcos last met in May 2023. The leaders welcomed recent milestones in advancing their clean energy and technology partnership. In terms of technology partnership, the field of cyber-digital cooperation was highlighted. The United States and the Philippines plan to hold their first bilateral Cyber-Digital Dialogue in July 2024 in Washington. This dialogue focuses on helping strengthen the Philippines’ resilience against cyber intrusions from state-backed and criminal organizations and advance an open, interoperable, secure, reliable, and trusted information communications technology ecosystem in the Philippines. Supporting this work, the U.S. Trade and Development Agency is providing a grant to NOW Telecom Company, Inc., an associate of NOW Corporation, for a feasibility study to help develop a secure nationwide 5G network in the Philippines utilizing equipment from trusted vendors. The project objective is threefold, involving key infrastructure components: first, to design and implement a pilot 5G SA network in Metro Manila; second, to design a nationwide stand-alone 5G wireless network; third, to design and plan for a nationwide broadband network. The project advances priorities of the




Partnership for Global Infrastructure and Investment and the Indo-Pacific Economic Framework, with the goal of developing, expanding, and deploying secure digital infrastructure to power economic growth and facilitate open digital societies. In terms of supporting the initiative of providing secure and reliable networks, NOW Telecom earlier signed a Memorandum of Understanding with Rakuten Symphony (part of the Rakuten Group, a technology conglomerate based in Tokyo) to establish a collaborative framework for the deployment of a 5G Open RAN Pilot deployment in the Philippines. Under the terms of the agreement, Rakuten Symphony and NOW Telecom will collaborate with the aim of developing disaggregated networks and open interfaces in the South-East Asian country. Both Parties will contribute expertise, resources, and technology to jointly develop 5G and related ICT solutions for NOW Telecom’s network. Furthermore, the companies will work together to introduce Rakuten’s ICT services to the Philippine market, with Rakuten Group having a strong presence in the Philippines through its leading instant messaging app, Rakuten Viber. The Open RAN project in collaboration with Rakuten does not negatively impact the previously-disclosed undertakings with Korea's SK Telecom, Vietnam's Viettel, One Web or ongoing discussions with other telecom and technology companies.
