We disclose that at the meeting of the Board of Directors of Concepcion Industrial Corporation (the “Board” and the “Company”, respectively) held on March 26, 2024, the Board approved the following: 1. The Company’s audited financial results for the year ended December 31, 2023; and 2. The declaration of cash dividends of Php0.70 per outstanding share of common stock of the Company payable on April 26, 2024, to holders of record as of April 15, 2024. The cash dividend was declared out of the unrestricted retained earnings of the Company as of December 31, 2023, which are sufficient to cover the total amount of the dividend declared.
