Reason(s) for Replacement
Following the spin-off of the stock transfer business of the Trust and Investments Group of Rizal Commercial Banking Corporation ("RCBC") to RCBC Trust Corporation, EEI approved the appointment of RCBC Trust Corporation and the termination of RCBC as EEI's stock transfer agent, subject to compliance by RCBC Trust Corporation with all regulatory requirements.

This amendment is pursuant to the advise from RCBC Trust Corporation that its application for registration as transfer agent has been approved by the Securities and Exchange Commission and has now completed all regulatory requirements.
