The disclosure was amended to reflect that on 13 March 2024 the Board of Directors of BLOOM approved to amend the agenda for the Annual Stockholders’ Meeting of the Corporation to be held on 18 April 2024 at 2:00 p.m. by adding to the Other Matters to be taken up the approval and ratification of the placing and subscription transaction executed on September 28, 2023 covering the offer and sale (the “Offer”) by Quasar Holdings, Inc. of 559,000,000 listed BLOOM shares at an offer price Php10.00 per share: (a) offshore to investors outside the United States in reliance on Regulation S under the United States Securities Act of 1933, as amended, and (b) domestically in transactions that will not require registration under the Securities Regulation Code, as amended and its subscription to the same number of BLOOM shares at the same price as the shares sold in the Offer and the listing thereof with the Philippine Stock Exchange.
