Increase in Issued and Outstanding Shares of Citystate Savings Bank, Inc. (CSB) from 153,600,000 to 161,800,000 due to the additional subscriptions of Mr. Dominic Edgard A. Cabangon (5,500,000 shares) and Eternal Gardens Memorial Park Corporation (2,700,000 shares).
Background/Description of the Disclosure
On 28 June 2023 and on 26 July 2023, the Board of Directors of CSB approved the subscriptions of 5,500,000 shares by Mr. Dominic Edgard A. Cabangon and 2,700,000 shares by Eternal Gardens Memorial Park Corporation respectively. The subscriptions of the aforementioned stockholders from the unsubscribed portion of the authorized capital stock of CSB is in compliance with Section 121 of the BSP Manual of Regulations for Banks, particularly the Minimum Required Capitalization of P1B for a Thrift Bank with Trust License. The 8,200,000 total additional shares are duly recorded in the stock and transfer books of CSB on 30 June 2023 and 26 July 2023 respectively.
