Background/Description of the Disclosure
Please be informed that Paragon Vertical Corporation ("Paragon") which is a wholly-owned subsidiary of e-Meralco Ventures, Inc. ("EMVI"), is in discussion with PLDT Inc. regarding its proposed investment in Radius Telecom, Inc. ("Radius"), a wholly owned subsidiary of Paragon amounting to PhP2.1 Billion. PLDT plans to acquire 2,491,516 shares of common stock, representing 34.9% equity interest in Radius, subject to due diligence and execution of definitive agreements. Radius is engaged in the business of providing enhanced telecommunications services to enterprise customers and also offers broadband internet services to residential consumers. EMVI is a wholly-owned subsidiary of the Manila Electric Company.
