Background/Description of the Disclosure
In compliance with the directive of the Securities and Exchange Commission ("SEC") dated 28 September 2023, we are disclosing herewith thru SEC Form 17-C or current report the sale of 550kw Solar Photovoltaic (PV) System Project of Menlo Renewable Energy Corp. (MREN), a subsidiary of MRC. The sale is in pursuance of an arbitration proceeding before the Construction Industry Arbitration Commission (CIAC) between MREN and Edward Marcs Philippines, Inc. (EMPI). Please note that MRC is not a party to the aforementioned arbitration and as such will not affect its business and operations. By virtue of the sale, the arbitration is already Closed and Terminated.
