The Board of Directors of Basic Energy Corporation, in its regular board meeting held on 31 August 2023, at which a quorum was present, and on motion duly seconded unanimously approved: 1) Re-appointment of Reyes Tacandong & Co. as external auditors for the year 2023 and approval of 2023 audit; 2) Re-adoption/approval of (updated) Amendments to By-Laws of Basic Energy Corporation – the proposed amendments to the By-Laws of Basic Energy Corporation disclosed last May 25, 2023 are re-adopted/approved with minor revision/update to the amendment of Article 3 Section 1 of the By-Laws pertaining to the enumeration of officers of the Corporation. For further details, please refer to the respective Amendment of By-Laws disclosure simultaneously filed by the Company enumerating all amendments to be effected.
