Subject of the Disclosure

Disclosure for the Company Directors and Officers, Mr. Bernard B. Rabanzo et al received entitled case I.S. No. III-09-INV-23F-01644.

Background/Description of the Disclosure

We would like to inform the Exchange that on 27 July 2023, Mr. Augusto M. Cosio, Jr., in his capacity as President and CEO of MRC and Mr. Bernard B. Rabanzo, Director of MRC Allied Inc. (“MRC”) and in his capacity as the Chairman/President of Menlo Renewable Energy Corp. (“MREN”) received Subpoena from the Office of the Provincial Prosecutors Office Province of Nueva Ecija, Cabanatuan City entitled, Christopher F. Aguilar versus Bernard B. Rabanzo et al. and/or I.S. No. III-09-INV-23F-01644 For Estafa.

The above-named officers of MRC and MREN were required to appear at the Prosecutors Office for the Preliminary Investigation on July 24, 2023 and July 31, 2023 at 2:00 o’clock in the afternoon. They were also directed to submit their counter-affidavit and other supporting documents or affidavit of the witness/es.

The abovementioned case was filed by Mr. Christopher F. Aguilar owner of the C.F Aguilar Rice Mill (“ARM”) against Mr. Augusto M. Cosio in his capacity as President and CEO of MRC and against Mr. Bernard B. Rabanzo in his capacity as President of MREN for the recovery of Security Deposit in the amount of PHP5,000,000.00.

For the information of the public, On February 2019, Menlo Renewable Energy Corp. (MREN) entered into a Memorandum of Agreement with Mr. Aguilar for the installation and operation of 550 KW Rooftop Solar PV System for his Rice Milling Facility.

On April 19, 2023, the Memorandum of Agreement between MREN and Mr. Aguilar was terminated and thereafter Mr. Aguilar demanded for the refund of his Security Deposit in the amount of PHP5,000,000.00.

MREN requested to be given time to refund the Security Deposit. Unfortunately, Mr. Aguilar filed the complaint against Mr. Cosio, Jr., Mr. Rabanzo and a former President of MREN.

The complaint has no legal basis as the obligation of MREN is purely civil in nature. On this basis, the respondents will file their Joint Counter-Affidavit to seek the dismissal of the case.

Nature and description of the legal proceedings

The above-named officers of MRC and MREN were required to appear at the Prosecutors Office for the Preliminary Investigation on July 24, 2023 and July 31, 2023 at 2:00 o’clock in the afternoon. They were also directed to submit their counter-affidavit and other supporting documents or affidavit of the witness/es.

The abovementioned case was filed by Mr. Christopher F. Aguilar owner of the C.F Aguilar Rice Mill (“ARM”) against Mr. Augusto M. Cosio, Jr. in his capacity as President and CEO of MRC and against Mr. Bernard B. Rabanzo in his capacity as President of MREN for the recovery of Security Deposit in the amount of PHP5,000,000.00.

Mr. Cosio Jr. and Mr. Rabanzo will file their Counter-Affidavit to have the case dismissed as the same has no legal and factual basis.
