Background/Description of the Disclosure
Please be advised that A Brown Company, Inc.’s subsidiary, Hydro Link Projects Corp. (HLPC) has approved the following amendments to its Articles of Incorporation (AOI) 1. FIRST ARTICLE changing the name of the Corporation to “NORTHMIN RENEWABLES CORP.”; 2. SECOND ARTICLE changing the primary purpose to “to invest in renewable energy projects and all other energy related investments.”; 3. THIRD ARTICLE changing the principal office of the Corporation to 104-B Cedar Mansion 1, Escriva Drive, Brgy. San Antonio, Pasig City; 4. SEVENTH ARTICLE increasing the authorized capital to One Hundred Million Pesos (Php100,000,000.00) divided into One Million (1,000,000) common shares with a par value of One Hundred Pesos (Php100.00) per common share. A Brown Company, Inc. will be maintaining 100% ownership of HLPC after the increase. Thank you for your kind attention.
