Approval on the additional subscription of Chairman Dominic Edgard A. Cabangon for 5,500,000 shares from the unsubscribed authorized capital stock of Citystate Savings Bank,Inc.
Background/Description of the Disclosure
In compliance with the disclosure requirement of the Philippine Stock Exchange (PSE) and Securities and Exchange Commission (SEC), please be advised that by virtue of the resolution of the Board of Directors of Citystate Savings Bank, Inc. (CSBank) dated 28 June 2023, a Subscription Agreement was entered into by and between CSBank and Chairman Dominic Edgard A. Cabangon on 30 June 2023 for the 5,500,000 CSBank Shares (with par value of P10.00) amounting to FIFTY-FIVE MILLION PESOS (Php55,000,000.00). The Agreement was executed to comply with the documentary requirements of SEC in connection with the subscription of Chairman Dominic Edgard A. Cabangon to the unsubscribed portion of the authorized capital stock of the Bank. Since the subscription pertains to less than 10% of the total issued and outstanding capital stock of CSBI, the Rule on Additional Listing of Shares will not apply.
