Background/Description of the Disclosure
Ladies and Gentlemen: In relation to the tender offer conducted by SM Investments Corporation (SMIC) for up to 378,817,279 common shares constituting 15.39% of the issued and outstanding common capital stock of 2GO Group, Inc. (2GO), from 15 March 2023 to 28 April 2023, a total of 352,690,680 common shares were tendered at the tender offer price of P14.64 per common share, amounting to a total transaction value of P5,163,391,555.20, which will be crossed on 5 May 2023. In view of the above, the resulting shareholdings of SMIC will be 1,654,861,652 common shares or 67.21% of the total outstanding capital stock of 2GO, while Trident Investments Holdings Pte. Ltd. currently owns 781,122,265 common shares or 31.73% of the total outstanding capital stock of 2GO. Thank you.
